Fluum Terms & Conditions

1. Introduction

These Terms of Use (“Terms”) constitute a contract between you and ZenPass LTD, trading as Fluum (“Fluum” or “we”), and govern your access to and use of:

Any Fluum website, application, or content (collectively, the “Site”);
Any functionality allowing you to book, reschedule, cancel, or otherwise manage sessions offered by third-party Solopreneurs on the Site;
Any content, classes, experiences, activities, events, services, recordings, or other products made available through Fluum (collectively, “Experiences”).

Fluum is a practice management and monetisation platform that enables you to engage with wellness, fitness, and other types of Solopreneurs by scheduling, paying for, and managing your sessions, as well as accessing or consuming related content.

Please read these Terms carefully before using the Site or participating in any Experiences.

Changes to These Terms
We may update or modify these Terms at any time by posting a revised version on the Site (or otherwise giving you notice). Your continued use of the Site or Experiences after any such update constitutes your acceptance of the modified Terms.

2. Acceptance of Terms

Binding Agreement: By accessing or using the Site and/or any Experiences, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Site or any Experiences.
Amendments: Amendments to these Terms become effective upon posting unless stated otherwise. Your continued use of the Site or Experiences after posting constitutes acceptance of the revised Terms.
Additional Terms: Certain plans, offers, products, or features may be subject to additional terms or guidelines. In the event of a conflict between these Terms and any additional terms, these Terms will govern.

3. Nature of the Fluum Platform

Practice Management, AI Co-Pilot & Monetization: Fluum provides digital tools allowing Providers (e.g., studios, independent providers, solopreneurs) to manage their practice, monetize their services, and interact with users.
User Experience: As an End User (“you”), Fluum enables you to search, book, pay for, reschedule, cancel, and consume content for various sessions, events, or classes offered by Providers.
Starter, GROW & PRO Plans: if you book an Experience with a Provider on a paid plan (Starter, GROW, or PRO), that Provider is considered your primary service provider for that transaction. You become their client for the purposes of that booking and are therefore subject to their refund/cancellation policies and data protection practices.
No Agency or Employment Relationship: Providers listed on Fluum are independent contractors and not employees, agents, representatives, or affiliates of Fluum. Fluum does not supervise, control, or direct the Providers in the performance of their services and is not a party to any transaction or service agreement between you and the Provider.

4. Provider Content & Memberships

4.1. Provider Content Responsibility

Fluum enables independent Providers to upload and offer digital content such as videos, classes, PDFs, livestreams, and other materials. This content is created, owned, and controlled solely by the Provider, not by Fluum.

Any views, claims, advice, or representations expressed in Provider content are those of the Provider alone. Fluum does not review, monitor, or endorse such content and makes no representations or warranties regarding its accuracy, legality, quality, or suitability.

By using the platform, you acknowledge that:

You may encounter content that is inaccurate, misleading, offensive, or inappropriate.
You access all Provider content at your own risk.
Fluum disclaims all liability related to Provider content, to the fullest extent permitted by law.

If you believe content violates our Community Standards or applicable law, please report it at contact@fluum.ai.

4.2 Memberships and Paid Access

Providers may offer recurring Memberships or paid access to exclusive content, services, or experiences through Fluum. These Memberships are offered and managed solely by the Provider. Fluum acts only as a technical facilitator of the transaction.

When you subscribe to a Membership:

You enter a direct contract with the Provider.
The Provider is fully and solely responsible for:
- Defining the content and benefits offered
- Setting pricing and billing terms
- Managing cancellations, refunds, and access
- Complying with applicable consumer, tax, and digital content laws

Fluum does not guarantee the availability, continuity, or quality of any Membership or its content. All disputes, refund requests, or access issues must be directed to the Provider.

Fluum disclaims all liability arising from Memberships, including non-delivery, dissatisfaction, or any resulting harm.

5. Your Fluum Account

Personal Use: You may create one account for personal, non-commercial use. You agree not to share your login credentials with any third party.
Account Security: You are responsible for maintaining the confidentiality of your username and password and for all activities that occur under your account.
Eligibility: You must be at least 18 years old and reside in a country where Fluum operates. Access from jurisdictions where Fluum does not operate is not permitted.
Account Misuse: You may not use your account to impersonate another individual, interfere with another user’s experience, or for any fraudulent purpose.

6. Fees, Billing, Cancellations, and Refunds

6.1 Purchases & Payment Processing

Payment Methods: When you book or subscribe via Fluum, fees are charged promptly using secure third-party payment processors (e.g., Stripe).
Upfront Payment: Fluum may require payment in advance to secure your session with a Provider.

6.2 Cancellations & Refunds

Provider-Managed Policies: Fluum is not responsible for disputes around refunds or service quality. Refunds and cancellations are solely subject to the Provider’s policy. Consult their terms for any disputes or questions.

6.3 Price Changes

Modifications: Fluum or Providers reserve the right to adjust pricing at any time. Any changes typically apply to future bookings or billing cycles.
Notice: If you hold a subscription, Fluum will notify you of a price change through a posting on the Site, an email, or other communication method. If you do not cancel before the new fees take effect, you are deemed to have accepted them.

7. Termination or Modification by Fluum

Termination Rights: Fluum may suspend or terminate your account, subscription, or access to the Site at any time, for any reason or no reason.
Changes to Services: Fluum may discontinue or modify any aspect of its platform without notice.
Refunds on Termination: If Fluum terminates your subscription without cause, you may be entitled to a pro-rata refund of unused prepaid amounts. If termination is due to your breach of these Terms, Fluum may refuse to issue any refund.

8. Privacy

Please review our Privacy Policy for information on how Fluum collects, uses, and discloses personal information. That policy is incorporated herein by reference.

Important: you are subject to the Provider’s data protection policies, which could differ from Fluum’s practices. Fluum is not responsible for data handling by these independent Providers.

9. Prohibited Conduct

You agree not to:

Harass, threaten, or defraud other users or Providers.
Access another user’s account without permission.
Circumvent Fluum’s booking platform by scheduling or cancelling directly with a Provider outside the Site.
Upload viruses or malicious code.
Post content that infringes the rights of others or is unlawful, defamatory, obscene, or otherwise objectionable.
Reverse engineer, scrape, or data mine the Site.
Use the Site for any illegal or unauthorized purpose.

Fluum reserves the right to remove content, refuse service, or suspend accounts at its discretion for any prohibited conduct.

10. User Submissions

Reviews & Feedback: You may submit reviews, ratings, and other content (“User Submissions”). By doing so, you grant Fluum a non-exclusive, royalty-free license to use and display such content in connection with the Site.
No Obligation to Publish: Fluum may remove or refuse to publish User Submissions at its discretion.
Ownership: You confirm that you own, or have the necessary rights to, any content you submit, and that it does not infringe any third-party rights or violate any applicable laws.

11. Ownership; Proprietary Rights

All content on the Site, except for User Submissions, is owned by Fluum or its licensors. You may not copy, distribute, modify, or create derivative works from any such content without express permission.

12. Linked Sites and Third-Party Services

Fluum may link to third-party websites or services (“Linked Sites”) for your convenience. Fluum does not endorse or control these Linked Sites and is not responsible for their content or services. Your dealings with any third party found through the Site are solely between you and that third party.

13. Disclaimers

Independent Providers: Providers offering services through Fluum operate independently. Fluum does not guarantee any specific outcome or quality.
“As Is”: The Site and all features are provided “as is,” without warranties of any kind.
Professional Guidance: Some services available through Fluum—including but not limited to wellness, fitness, coaching, consulting, or therapeutic sessions—may involve physical, emotional, or financial risk. You are solely responsible for evaluating whether a service is appropriate for you and are encouraged to consult a qualified professional when needed. You assume full responsibility for any outcomes or harm resulting from your participation.
Provider Vetting: While Fluum may offer tools for Providers to describe their services and credentials, we do not independently verify any claims, qualifications, certifications, or background. Users are solely responsible for conducting their own due diligence before engaging a Provider. You should not assume that any Provider is licensed, insured, or otherwise formally credentialed unless explicitly stated and verified by you.
No Guarantee of Outcomes: Fluum makes no guarantees about the outcomes, results, or satisfaction derived from using the Site or services offered through it. All tools, including AI-based features, are intended to support—not replace—professional judgment. Your success or experience will depend on your own actions and decisions.

14. Waiver & Release

By using Fluum and booking or attending any session, class, consultation, or experience, you acknowledge that certain services may involve physical, emotional, financial, or other types of risk. You voluntarily assume full responsibility for all such risks.

To the fullest extent permitted by applicable law, you hereby waive, release, and discharge Fluum, its officers, directors, employees, contractors, and agents from any and all claims, liabilities, damages, losses, or expenses (including legal fees) arising from or related to your participation in any services or Experiences made available through the platform.

This waiver applies to any claims now known or later discovered, and extends to all forms of liability, including negligence (but excluding gross negligence or wilful misconduct), breach of contract, or statutory duty.

15. Limitation of Liability

To the fullest extent permitted by law, Fluum, its affiliates, directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues (whether incurred directly or indirectly), or any loss of data, use, goodwill, or other intangible losses resulting from:

(a) your use of or inability to use the Site or Experiences;

(b) any content or conduct of any third party on the Site, including without limitation, any Provider services, advice, or actions;

(d) unauthorised access, use, or alteration of your transmissions or content.

16. Dispute Resolution

We encourage you to contact us at contact@fluum.ai to resolve any dispute. Any claim arising under these Terms will be governed by the laws of England and Wales, and subject to the exclusive jurisdiction of its courts unless otherwise agreed.

17. Miscellaneous

Choice of Law: These Terms are governed by the laws of England and Wales.
Assignment: Fluum may assign its rights and obligations without restriction.
Severability: If any provision is deemed invalid or unenforceable, the remainder remains in force.
Entire Agreement: These Terms (and any incorporated policies) constitute the entire agreement between you and Fluum.
Waiver: A waiver of any term of these Terms is not a further or continuing waiver of that term.
Notices: We may notify you via email or postings on the Site; you may notify us at contact@fluum.ai.

By using the Site, you represent and warrant that you have the legal capacity and authority to enter into these Terms.
